GENERAL TERMS AND CONDITIONS OF SUPPLY OF GOODS
SBI reserves the right to change quantity or price due to force majeure, seasonal raw material shortages, market changes and official price changes and will inform the customer in time of changes
SBI is authorized to deliver up to 2% more or less than the agreed quantities of which the difference will be adjusted against the contract price.
The customer is bound to accept and pay the purchased goods at the agreed terms.
The customer may place the Order by submitting their request to SBI on contact form on the Website/email/post/telephone.
The Order shall not be valid unless it contains sufficient information to enable SBI to carry out the customer’s requirements. SBI may need to request from the customer further information or clarification of the Order. Where SBI requests such information or clarification, the customer shall provide SBI the requested information
SBI shall acknowledge the customer’s Order as soon as practicable

2. Deliveries
Deliveries
The goods will be delivered according to the provisions of INCOTERMS latest edition unless otherwise agreed in writing.
The date of delivery specified in the P.O. agreement is an estimate only and shall not be of the essence of the contract. SBI shall not be liable for any loss, costs, damages, charges, or expenses caused directly or indirectly by any delay in the delivery of goods.SBI will deliver goods purchased by the customer to the customer’s indicated delivery address.The risk and ownership of the goods shall pass to the customer at the moment the goods are handed over to a carrier or as agreed.The goods will remain the property of SBI until full payment of the price by the buyer is made unless otherwise agreed in writing.
Delivery Timeline
Detailed Explanation: Upon placing an order, our team promptly begins the process of preparing your shea butter for shipment. Orders are typically processed within 30 – 90 business days. Following processing, your order will be shipped and is expected to arrive within 14 – 30 business days. Please note that these are estimated timelines and may vary slightly based on our order volume and product availability. Special Circumstances: “In the event of high demand or supply chain disruptions, we will communicate any potential delays promptly, ensuring you are kept informed about the status of your order.”
Responsibility and Tracking
Responsibility Breakdown: “Responsibility for the goods shifts during the delivery process. While in transit, the goods are under the care of our trusted shipping partners. Once the goods arrive at your designated delivery address, responsibility transfers to you, the customer. Tracking System: “To keep you informed every step of the way, we provide a tracking number with each order. This number allows you to monitor the progress of your shipment through our carrier’s website, giving you real-time updates on its location and estimated delivery date.
Delivery Conditions

However, certain external factors such as inclement weather, logistical challenges, or geographical constraints may occasionally impact delivery times. 3. Product Specification / Packaging
Specifications are set out according to standard Grade A or B Unrefined shea butter quality requirement. SBI will do its best to deliver to customer accordingly. The goods are packed in 25 kg sealed nylon, preserved for storage. SBI label will be visible on package, namely; Product name, Manufactured date, and Country of origin At the request of customer (depending on volume) personalized packaging is welcome including customer’s label. Designed and acquired by customer or otherwise by SBI at full price. SBI is entitled to charge the customer full price for personalized packaging.

Grade A Specifications
Quality Attributes: “Grade A Shea Butter is our premium offering, characterized by its ivory or beige pale-yellow colour, smooth texture, and nutty aroma. This grade signifies the highest level of purity, with minimal impurities and a uniform consistency.

4. Analysis
Customer demand the right to request for product Lab analysis to determine value before good leaving factory. Customer can request sampling to have an analysis performed at his own expense, off which SBI must be notified of the result. SBI has the right to arrange, at its own expense, for a counter analysis to be performed. If the results of the analyses differ, the average of the two analyses performed by legally recognized laboratories shall be binding on both parties
5. PRICE AND PAYMENT
VAT excluded from prices unless otherwise agreed
The price for the supply of goods is as set out in the P.O. agreement and in the agreed currency of payment, payable in advance.
The prices exclude freight and handling.

6. Cancellation of Orders
An order accepted by SBI cannot be cancelled without prior written consent (in its sole discretion). No application for cancellation or delay in delivery will be considered unless made by customer in writing to SBI within 24 hours of agreement.
SBI will consider an application for cancellation or delay in delivery in its sole discretion.
Cancellation Conditions
Timeframe and Fees: “Orders can be cancelled within 24 hours of placement without any additional charges. Cancellations made after this period may incur a cancellation fee to cover the costs of processing and any production that has already occurred. This fee will be a percentage of the order value, depending on the stage of processing at the time of cancellation.”
Custom Orders: “Please note that custom orders, due to their personalized nature, cannot be cancelled once production has commenced.
Process for Cancellation

Exceptions
Special Cases: “Exceptions to our cancellation policy include orders that have already been shipped, as these cannot be cancelled and. In such cases, our return policy will apply. Additionally, bulk orders or special deals may have specific cancellation terms, which will be communicated at the time of order placement.”
7. Complaints/ Returns
Complaints regarding the delivery or invoices must be made immediately, latest 5 days after receipt of the delivery, the invoice must be attached. Properly delivered goods cannot be returned. Exceptionally, and after consultation with SBI, a credit may be issued.
8. Product liability
SBI accepts liability only for deliberate or negligently added damages regarding the fulfillment of its agreement. Any further liability or obligation, consequential damages, e.g. Production losses on the part of customer, are hereby expressly excluded
Scope of Liability
Detailed Explanation: “Shea Butter International (SBI) assumes liability for direct damages arising from our breach of contract or negligence in the fulfillment of our obligations. This includes damages or issues related to the quality, delivery, and packaging of our products.”
Coverage of Damages: “Our liability covers rectifying any defects in the product, replacing or refunding defective items, and addressing any direct harm caused due to our actions or inactions.”
Indirect Damages
Policy Clarification: “SBI’s liability does not extend to indirect damages. This includes, but is not limited to, loss of profit, damage to reputation, or third-party claims that arise from the use or resale of our products.”
Customer Responsibility: “We encourage our customers to thoroughly assess the suitability of our products for their intended use. SBI shall not be held responsible for any indirect consequences resulting from the application or use of our products beyond their specified purpose.”
Limitation of Liability
Maximum Compensation: “The maximum compensation for any claim against SBI shall not exceed the total value of the order from which the claim arises.”
Time Limit for Claims: “Claims against SBI must be made within a specified period from the receipt of goods, beyond which we cannot assume liability for any issues that arise.”
